Terms of Use
Effective from: 19 July 2026
These terms of use (the Terms) govern the use of the www.intcenta.com webshop (the Webshop) and any sales contract concluded through it between Intcenta OÜ (registry code [reg. no.], address Lepatriinu tee 4-7, Jälgimäe, Saku vald, 76404, Harju County, Estonia; the Seller) and the company placing an order through the Webshop (the Customer).
1. General
- The Webshop and any sales contracts concluded through it are governed by the law of the Republic of Estonia, including the Law of Obligations Act.
- By placing an order through the Webshop, the Customer confirms that they have read and agree to these Terms and the Privacy Policy.
- The Seller reserves the right to unilaterally amend these Terms. Changes do not apply retroactively to orders already confirmed.
2. Business customers (B2B)
Intcenta OÜ currently sells products only to business customers, i.e. legal entities acquiring products for their business or professional activity. As a result, consumer-specific provisions of the Consumer Protection Act do not apply to the Customer (including the consumer's 14-day right of withdrawal from a distance contract), since the Customer is not a consumer within the meaning of the Law of Obligations Act. The Seller may nonetheless allow product returns at its own discretion, as set out in section 7.
3. Placing an order and forming a contract
- Product information displayed in the Webshop (including specifications, images and stock levels) is for information purposes only and does not constitute a binding offer by the Seller until an order is confirmed by the Seller.
- A sales contract between the Customer and the Seller is deemed concluded once the Seller has confirmed the order to the Customer in writing (including by email).
- The Seller may decline or adjust an order if the ordered product is not actually available in stock, there is an obvious error in the product information (e.g. a pricing error), or the Customer's details are insufficient to fulfil the order.
4. Prices and payment
- All prices shown in the Webshop are in euros and include VAT unless stated otherwise. Customers with agreed price lists see their negotiated prices after logging in.
- The invoice payment term (advance payment, invoice with credit terms, etc.) is agreed separately with the Customer and stated on the invoice.
- Goods remain the property of the Seller until the purchase price has been paid in full.
5. Delivery
Delivery terms, times and prices are described in more detail on the delivery page. The risk of accidental loss or damage to the goods passes to the Customer upon handover of the goods to the first carrier, unless otherwise agreed by the parties.
6. Warranty and claims
- Products carry the manufacturer's warranty as stated on the product/datasheet (typically up to 5 years for drivers, up to 3 years for LED strips and modules).
- If a product defect appears, please notify the Seller as soon as possible by email with the order number and a description of the defect. The Seller will arrange inspection, repair, replacement or reimbursement of the product in accordance with the warranty terms and applicable law.
7. Returns
As the Customer is a business customer (see section 2), the statutory 14-day right of withdrawal does not apply. By agreement with the Seller, returning a product (e.g. excess quantity or a product damaged in transit) is nonetheless possible — please contact myintcenta@intcenta.com and the Seller will provide return instructions. Returned products must be unused, in original packaging and complete.
8. Intellectual property
All content of the Webshop (text, images, product drawings, trademarks, design) belongs to the Seller or its licensors (including Inventronics) and is protected by copyright and trademark law. Using, copying or distributing this content without prior written permission is prohibited, except for ordinary browsing and quotation to the extent permitted by law.
9. Limitation of liability
- The Seller is liable for direct financial loss arising from a breach of these Terms, as provided by law. The Seller is not liable for indirect damage (e.g. loss of profit, production downtime), except where the damage was caused by intent or gross negligence.
- The Seller is not liable for delay or failure to perform obligations caused by force majeure, including supply difficulties at the manufacturer/supplier.
- Product information in the Webshop (including images, datasheets and specifications loaded automatically from the supplier's systems) may contain inaccuracies; the manufacturer's official datasheets are authoritative.
10. Personal data
The principles of personal data processing are set out separately in the Privacy Policy.
11. Governing law and dispute resolution
These Terms and any contracts concluded through the Webshop are governed by the law of the Republic of Estonia. Disputes will first be resolved through negotiation; failing agreement, disputes will be resolved in Harju County Court, unless the parties have agreed otherwise in writing.
